Any order, activation or use implies full acceptance of these Terms.

- software licenses;
- online services;
- subscriptions;
- hardware protection devices;
- electronic interfaces;
- programmers;
- electronic components;
- accessories;
- technical services;
- automotive electronics related services.
Descriptions displayed on the website are provided for informational purposes only and may change without prior notice.
- CUSTOMERS AND DECLARATIONS
Products, software and services offered by HESI / KMTECH are primarily intended for professional users.
The customer declares that they:
- act within the scope of their professional activity or possess sufficient technical knowledge for proper use of the products;
- possess the necessary rights and authorizations;
- provide accurate information during registration and ordering.
The customer remains solely responsible for the accuracy of provided information.
HESI reserves the right to refuse, suspend or cancel any order in the event of inaccurate, incomplete or suspicious information.
- PRICES
Prices displayed are expressed in the currency indicated on the website.
HESI reserves the right to modify prices at any time.
Products and services will be invoiced according to the price applicable at the time of purchase.
- PAYMENT
All orders are payable immediately through the payment methods available on the website.
HESI reserves the right to suspend or reject any order in the event of payment issues.
- DELIVERY
Delivery times are provided for informational purposes only.
HESI shall not be held liable for delays caused by:
- carriers;
- postal services;
- customs;
- circumstances beyond its reasonable control.
Risk transfers upon delivery of goods to the carrier.
- SOFTWARE, LICENSES AND DIGITAL SERVICES
Licenses, software, subscriptions, activations and digital services only grant a limited right of use.
No intellectual property rights are transferred.
Licenses:
- are personal;
- are non-assignable;
- are non-transferable;
- may not be shared, resold, lent or rented without prior written authorization.
Software may require:
- internet access;
- activation;
- an active subscription;
- a hardware protection device.
- SECURITY DONGLE
Software may be protected through a hardware security device.
The following actions are prohibited:
- lending;
- renting;
- sharing;
- reproducing;
- emulating;
- modifying;
- bypassing;
such protection devices.
- AUTHORIZED USE
The user agrees to use products, software and services:
- in compliance with applicable laws;
- only on equipment for which the user possesses the required rights or permissions;
- in accordance with these Terms.
The user remains solely responsible for all operations performed.
- PROHIBITED USES
The following actions are prohibited:
- using products or software for fraudulent or unlawful purposes;
- facilitating unauthorized use of a vehicle or equipment;
- unlawfully bypassing security systems;
- using software in an automated manner without prior written authorization;
- using software as an independent binary processing business for third parties ("file service") without prior written authorization;
- sharing software access;
- decompiling, disassembling, modifying or reverse engineering software;
- intercepting or analyzing software communications;
- bypassing technical protection mechanisms.
- FILES AND GENERATED RESULTS
Files, processing operations, generated results and data remain under the sole responsibility of the user.
The user shall not redistribute, publish, commercialize or exploit generated results as an independent file processing activity when such results include elements, processing methods, algorithms, signatures or knowledge bases belonging to HESI without prior written authorization.
This restriction does not apply to standard repair, diagnostic or adaptation services performed for an end customer.
- SAFETY-RELATED FUNCTIONS
Certain functions may allow analysis or processing of data relating to:
- airbag control modules;
- immobilizer systems;
- passive safety systems;
- other similar electronic systems.
Such features are solely electronic data processing tools.
HESI does not guarantee:
- vehicle condition;
- component functionality;
- regulatory compliance;
- final vehicle safety.
The user remains solely responsible for:
- repairs performed;
- required technical inspections;
- manufacturer-required verifications;
- returning a vehicle to service.
- SERVICE AVAILABILITY
HESI undertakes reasonable efforts to ensure service availability without guaranteeing uninterrupted or error-free operation.
Services may be interrupted for:
- maintenance;
- security purposes;
- updates;
- service improvements;
- abuse prevention.
- WARRANTIES AND LIABILITY
Products and software are provided without any guarantee of fitness for a particular purpose.
HESI does not guarantee:
- universal compatibility;
- complete absence of errors;
- successful results for every operation.
HESI shall not be held liable for damages resulting from:
- improper use;
- handling errors;
- incorrect diagnosis;
- interventions performed by users or third parties;
- non-compliant use;
- modifications performed on files or electronic equipment.
To the extent permitted by applicable law, HESI's total liability shall not exceed the amount paid by the customer for the relevant product or service.
- DATA AND CONFIDENTIALITY
Certain technical data necessary for service operation may be collected for:
- maintenance;
- service improvements;
- statistical purposes;
- security;
- abuse prevention.
Processing of such data is performed in accordance with applicable regulations.

- SUSPENSION AND TERMINATION
HESI may immediately suspend or terminate any license, access or service without refund in the event of:
- fraud;
- license sharing;
- dongle sharing;
- unlawful use;
- unauthorized file service activities;
- protection bypass attempts;
- violation of these Terms.
- INTELLECTUAL PROPERTY
Software, algorithms, processing methods, databases, signatures, content, interfaces, trademarks and related technologies remain the exclusive property of HESI.
No rights other than a limited right of use are granted.
- GOVERNING LAW
These Terms shall be governed by French law.
Any dispute regarding interpretation or execution of these Terms shall fall under the jurisdiction of the competent French courts.
- ACCEPTANCE
The customer acknowledges having read and fully accepted these Terms upon any order, activation or use.
In the event of discrepancies between translated versions and the French version, the French version shall prevail.
